Terms of Service

1. Acceptance of Terms
By accessing or using the Vouchstone platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Vouchstone provides an Accountability Engineering Platform with supervised autonomous AI agents for enterprise knowledge graphs, data migrations, ERP automation, and FinOps. The Platform includes a control plane (dashboard, API, billing) and data plane (agent runtime, memory stores) deployed in your infrastructure or ours.
3. Accounts and Access
You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify us immediately of any unauthorized use.
4. Acceptable Use
You agree not to: (a) use the Platform for unlawful purposes; (b) attempt to gain unauthorized access to any systems; (c) interfere with or disrupt the Platform; (d) reverse-engineer, decompile, or disassemble any part of the Platform; (e) use the Platform to build a competing product.
5. Intellectual Property
The Platform, including its technology (U.S. Patent 12,536,365 B1), software, documentation, and branding, is owned by Vouchstone LLC. Your data remains yours. You grant us a limited license to process your data solely to provide the Platform services.
6. Billing and Credits
Certain Platform features require Vouchstone credits. Credits are purchased via Stripe and are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' notice. Usage is tracked automatically and deducted from your credit balance.
7. Reverse SLAs
Engagement-specific commitments (parity, timeline, budget) are governed by individual Engagement Agreements. If Vouchstone misses a named commitment, remedies (credits or refunds) are specified in the applicable Engagement Agreement.
8. Data Processing
We process your data in accordance with our Privacy Policy. For enterprise customers, data processing is governed by a separate Data Processing Agreement (DPA).
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOUCHSTONE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Termination
Either party may terminate these Terms with 30 days' written notice. We may suspend access immediately for violations of these Terms. Upon termination, you may export your data within 30 days; after that period, we may delete it.
11. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in San Francisco County, California.
